Terms & Conditions

These Terms and Conditions (“Terms”) constitute a legally binding agreement between Auraplus IT And Digital Services, a company registered in Aurangabad, Maharashtra, India (“we”, “us”, or “our”) and the client (“you”, “your”, or “client”) regarding your access to and use of our website and services.
By accessing our website, requesting a quotation, signing a proposal, or engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms.
1. Services Offered
We provide the following services:
- Website Development (primarily using WordPress)
- UI/UX Design and Wireframing
- SEO (Search Engine Optimization) Services
- GEO-targeted Digital Services
- AI-Based Automation and Workflow Solutions
- Maintenance, Support, and Custom Integrations (optional)
Any service not explicitly stated above shall require a separate agreement.
2. Project Commencement
2.1 Proposal & Agreement
- Before project initiation, a detailed proposal and/or formal agreement will be shared with the client for review and approval.
- Agreements may be signed using third-party platforms like Zoho Sign, DocuSign, or other e-signature services.
2.2 Payment Terms
- We prefer 100% payment upfront before commencing work.
- If agreed otherwise, a minimum of 50% advance is mandatory to initiate the project.
- The remaining balance must be paid before handover of the final deliverables.
- No files, credentials, or source code will be transferred before full payment is completed.
2.3 Cancellation Fee
- If the client signs an agreement but fails to pay the advance and later cancels the project, a cancellation fee (10–30% of total project cost depending on scope) will be applicable to compensate for the time and resource allocation.
3. Client Responsibilities
Clients are required to:
- Provide all necessary materials (content, images, logos, credentials) in a timely manner.
- Ensure they have proper rights or licenses for all materials shared.
- Respond promptly to queries, feedback, and revision requests to avoid delays.
Failure to fulfill responsibilities may delay the project and may result in additional costs.
4. Communication Channels
Communication may occur through various platforms, including but not limited to:
- Phone or Video Calls
- Slack
- Internal Project Portal (e.g., Notion or others)
- Any other tool agreed upon and communicated at the time of onboarding
All communication will be logged and documented for transparency and project tracking.
5. Revisions Policy
5.1 Design Phase
- Clients are entitled to multiple revisions during the design phase, before development begins.
- Feedback must be provided within the stipulated timelines.
5.2 Post-Development Phase
- After development begins, up to 2 to 3 rounds of revisions may be offered depending on the package.
- Certain projects may include unlimited revisions as per a pre-agreed contract.
- Additional changes outside the scope or beyond the allowed revision rounds may be charged extra.
6. Ownership & Licensing
6.1 Client Ownership
- Upon final payment, the client receives full ownership of:
- Website design
- Codebase (if custom)
- Digital assets (if created by us)
- Documentation (if any)
6.2 Licensed Resources
- Some elements (e.g., WordPress themes, premium plugins, fonts, or images) may be licensed and not owned outright.
- These are provided under use licenses, and the client agrees to adhere to the third-party terms.
- We will inform the client beforehand about any paid tools or resources used.
7. Hosting & Resource Usage
If hosting is provided by Auraplus or arranged on behalf of the client:
- It is solely for the website or application developed under the agreed scope.
- Any misuse (e.g., hosting unrelated websites, file storage for third parties, using resources for unauthorized activities) is strictly prohibited.
7.1 Consequences of Misuse
- Extra charges for resource overuse
- Temporary or permanent suspension of hosting
- Legal action in case of severe misuse or abuse
8. Maintenance & Support
8.1 Post-Launch Support
- Maintenance is not included in base development packages.
- Clients may opt for monthly or annual maintenance plans at additional cost.
- In some of the projects maintenance maybe but as per the prior agreements between the client and Us.
8.2 Includes (if opted):
- Plugin/theme updates
- Security monitoring
- Minor bug fixes
- Content updates (limited per package)
Any advanced feature development or major rework is billed separately.
9. Third-Party Tools & Integrations
- We use WordPress as the base platform for development unless stated otherwise.
- Custom APIs or third-party integrations (e.g., payment gateways, chatbots, CRMs) may incur additional costs and setup time.
- Clients will be informed in advance, and any premium APIs/tools will only be purchased with client approval.
10. Confidentiality
Both parties agree to maintain the confidentiality of all sensitive or proprietary information shared during the course of the project.
- We will not disclose or share your project data, strategy, or code with third parties without your written consent.
- You also agree not to disclose any trade secrets or internal documentation provided by us.
11. Limitation of Liability
Auraplus IT And Digital Services shall not be liable for:
- Loss of data, income, or reputation due to downtime or third-party service failure
- SEO ranking drops post-site migration or updates
- Delays caused by client inaction or delay in feedback
- Issues arising from client-side modifications
Our liability is limited to the amount paid for the specific project.
12. Termination Clause
We reserve the right to suspend or terminate a project if:
- Payments are delayed beyond 15 days from due date
- The client misuses the provided resources or breaches agreed terms
- The working relationship becomes hostile, abusive, or unproductive
All work completed up to that point will be billed. Unpaid dues must be cleared before delivery of assets (if applicable).
13. Force Majeure
We are not liable for failure or delay in performance due to causes beyond our reasonable control, including but not limited to:
- Acts of God
- Governmental actions
- Power failures
- Network outages
- Civil unrest or war
- Pandemics or natural disasters
14. Governing Law & Jurisdiction
These Terms are governed by the laws of India. Any dispute or claim shall be subject to the exclusive jurisdiction of courts located in Aurangabad, Maharashtra.
15. Amendments to Terms
We reserve the right to update or change these Terms at any time. Updates will be published on our website with a revised effective date. Continued use of our services after any such changes implies your acceptance of the updated terms.
